Under this department, our core mandate is to deal with all aspects of company matters, Land law and Real property transactions.
The incorporation of companies, registration of documents and obtaining the necessary clearance consents with the relevant registries or County authorities;
The drafting and perusal of commercial contracts and agreements; banking securities that involve companies such as debentures; mergers and acquisitions; loan agreements.
Conducting due diligence on titles/ownership documents and undertaking sub-division and amalgamation of parcels land;
Application to the relevant County authorities and land’s registries for change of user from either residential to commercial or agricultural or mixed user;
Offering comprehensive Employment Law advisory to employers, employees and self-employed with advice on employment policies, contracts, terminations, wages and benefits, collective bargaining, workplace/industrial safety, workmen’s pensions and compensation [Workmen’s Injuries Benefits Act] and dealing with all employment related disputes.
Drafting various Letters of Engagement or Employment Contracts for clients, various policies that are required at the workplace, advising clients on any breaches of employment contracts and defend them in any Civil Litigation that may arise.
Legal advisory services to clients in their respective business areas ensure compliance with the established laws, by-laws and subsidiary legislation.
Intellectual Property
We advise on all aspects of intellectual property rights and the acquisition and use of information technology products and services. We work in a variety of industries and our specialist industry knowledge coupled with our intellectual property expertise ensures that we are able to provide cost effective advice that is innovative and adds value.
Our lawyers are also experienced in both contentious and non-contentious enforcement of intellectual property rights (including patents, unregistered and registered designs, copyright and database rights, trademarks and the law of passing off). We also advise on registration of rights through regional and international organizations.
General Legal Advisory & Other services
Legal advice whether telephonic, written opinion or in attendance in corporate and company secretarial matters;
Attendance to clients/its officers and prompt advice on Alternative Dispute Resolution [ADR] /Arbitration mechanisms to mitigate costs;
Effecting non-contentious matters of a routine and minor nature and assume responsibility for ensuring that the clients’ interests are protected at all instances;
Attending to matters in Court and/or Tribunals;
Attending at Client's office or attending officers of the client at our offices when necessary on appointments to give initial legal advice and/or to discuss on-going matters and earmarked projections;
Attending periodic Symposiums, Workshops and Seminars, Board Meetings at client’s offices and giving legal advice on matters arising therefrom and in particular Legal ramifications of the decisions or resolutions thereof.
Legal fees are charged strictly in accordance with the Advocates Remuneration Order. In the event however of the client being involved either in litigation or in contentious work of unusual importance or complexity, such work would be charged for on the basis of agreed fees/or retainer exclusive of disbursements and taxes
